These Terms of Service ("Terms") govern your access to and use of Teichat, including any website, application, chat interface, file-upload workflow, and related services we make available (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms.
Teichat is owned and operated by TeichAI. If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
Teichat provides an interface for interacting with one or more third-party AI models and optional tools such as web search and file upload. The Service may route your prompts, files, and related context to third-party providers selected by TeichAI or by your chosen model. Features, models, limits, and integrations may change over time.
The Service may also store conversation state associated with your chats, including uploaded attachments, tool-call records, and assistant timeline data such as reasoning or content blocks, so chats can be rendered, resumed, and managed within the product.
The Service may let you save your own API key for certain supported provider platforms ("BYOK"). BYOK applies only to supported provider platforms exposed in the product and used through a matching supported provider endpoint. BYOK does not apply to custom endpoints or unsupported providers, even if they present a compatible API surface.
You may not use the Service to, or attempt to:
You retain any rights you have in prompts, uploads, chat content, and other material you submit to the Service ("User Content"). You are responsible for ensuring that you have all rights, permissions, and legal bases needed to submit User Content and to instruct us to process it.
You grant us a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, adapt, and otherwise process User Content as necessary to operate, secure, maintain, and improve the Service for you, including by sending content to our hosting, storage, search, identity, and AI model providers. This license ends when the relevant User Content is deleted from the Service, except to the extent retention is required for backups, legal obligations, security, or dispute resolution.
If you save a BYOK credential, you instruct us to store it in encrypted form and to use it to authenticate requests to the matching supported provider platform on your behalf when you use that supported provider through the Service, until you remove it or your account is deleted.
If you enable the privacy setting that allows data collection for model training, new chats you create may be marked as eligible for training export. For chats marked that way, you also authorize us to include the chat and its stored conversation data in training-data exports for model training. Changing that setting affects only chats created after the change.
If you click a thumbs up or thumbs down control, you are submitting an explicit feedback label for that response. That label is treated as part of the chat record you submit. We do not create or infer that like or dislike label from unrelated browsing activity, advertising data, device telemetry, or other off-service behavior.
We may also apply separate downstream review or filtering processes to training exports in an effort to remove API keys, credentials, and other sensitive data before those exports are used for training. Those efforts are not a guarantee that all sensitive data will be detected or removed.
We may impose credit balances, usage charges, rate limits, model restrictions, upload limits, or other fair-use controls. Those limits may vary by user, account type, or service settings and may be changed, suspended, or removed at any time.
Some features or usage tiers may require a paid subscription. Plan details such as included usage, billing period (for example, monthly or annual), free-trial availability, and applicable fees or taxes will be presented in the Service or at checkout and may change prospectively.
If you start a paid plan, you authorize our billing providers and payment processors to charge your selected payment method for the amounts due at signup, renewal, plan changes, and any applicable taxes or similar charges until you cancel. Paid subscriptions may renew automatically at the end of each billing period unless canceled before renewal.
When you change plans, the Service may apply immediate changes, delayed changes, or prorated credits for unused time on your current plan where supported by the billing flow presented to you. If payment cannot be collected, we may suspend, downgrade, or terminate access to the affected paid features.
If you cancel a paid subscription, you will generally keep access through the end of the current paid billing period and your subscription will not renew after that period. Deleting your account does not by itself automatically cancel an active paid subscription unless the Service expressly offers that cancellation as part of the deletion flow.
We may, in our discretion, provide a refund if you request it within 24 hours after the initial purchase of a paid subscription. After that 24-hour window, subscription charges are generally non-refundable. Canceling a subscription stops future renewal charges but does not itself entitle you to a refund for the current billing period.
The Service depends on third-party services, including AI model providers, search providers, identity providers, billing and payment processors, hosting services, and cloud storage providers. We are not responsible for outages, policy changes, data handling, or other acts or omissions of third parties. Your use of third-party services may also be subject to separate terms and privacy policies.
If you use BYOK, you remain responsible for your relationship with the relevant supported provider, including having a valid account, payment method, and any rights needed to use that provider's services.
Your use of the Service is also governed by our Privacy Policy, which describes how personal information is collected, used, disclosed, and retained.
We may suspend, restrict, or terminate your access to the Service, with or without notice, if we believe you violated these Terms, created risk or potential liability, interfered with the Service, or if we are required to do so by law or by a third-party provider. You may stop using the Service at any time.
The Service, excluding User Content and third-party materials, is owned by TeichAI or its licensors and is protected by intellectual property laws. Except as expressly allowed by these Terms or by applicable law, you may not copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $100.
To the extent permitted by law, you will defend, indemnify, and hold harmless TeichAI and its affiliates, personnel, and service providers from claims, liabilities, damages, losses, and expenses arising out of or related to your User Content, your use of the Service, or your violation of these Terms or applicable law.
You may not use the Service in or for the benefit of any person or entity subject to applicable trade embargoes, sanctions, or export restrictions, and you may not use the Service in violation of export control laws.
These Terms are governed by the laws of the jurisdiction in which TeichAI is established, excluding conflict of laws rules, unless a mandatory law requires otherwise. Unless TeichAI states otherwise in a separate written agreement, disputes will be resolved in the courts located where TeichAI is established, and each party consents to personal jurisdiction in those courts.
We may update these Terms from time to time. The updated version will be posted here with a revised "Last updated" date. If a change is material, we may provide additional notice through the Service or by another reasonable method. By continuing to use the Service after the effective date of the updated Terms, you agree to the revised Terms.
